Terms of Service

Review notice: This is a comprehensive structural draft. It has not been reviewed by qualified Indian legal counsel and should not be relied upon as a binding agreement until it has been. Section 18 (Dispute Resolution) in particular affects Users' legal rights and should receive the most careful review before publication.

1. Acceptance of terms

These Terms of Service (“Terms”) constitute a legally binding agreement between you and Diviniel Technologies Private Limited (“Diviniel,” “the Company,” “we,” “us,” or “our”), governing your access to and use of our website and products (collectively, the “Services”). By accessing or using the Services, you agree to be bound by these Terms and our Privacy Policy, incorporated herein by reference. If you do not agree, you must not access or use the Services.

2. Definitions

• “Account” means the account you create to access certain features of the Services.
• “Document Content” means any file, document, or data you process using the Services.
• “User Content” means any information you provide to us directly, such as account registration details or contact form submissions — distinct from Document Content, which we never receive.

3. Eligibility

You must be at least 18 years of age and have the legal capacity to enter into a binding contract under the Indian Contract Act, 1872, to use the Services. By using the Services, you represent and warrant that you meet these requirements. If you are using the Services on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

4. Description of the Services

Diviniel provides document security tools — including compression, format conversion, redaction, watermarking, encryption, and electronic signature functionality — architected so that Document Content is processed entirely client-side, within your browser, and is never transmitted to or received by our servers. Details of our architecture and how to independently verify this claim are available on our About page.

5. Account registration and security

Certain features require an Account. You agree to provide accurate, current, and complete information during registration, to maintain the confidentiality of your login credentials, and to be responsible for all activity that occurs under your Account. You must notify us immediately at support@diviniel.com of any unauthorized use of your Account or any other breach of security.

6. License grant

Subject to your compliance with these Terms, Diviniel grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your own internal business or personal purposes. This license does not include any right to: (a) resell or make commercial use of the Services without our written consent; (b) copy, reproduce, or create derivative works of the Services; (c) reverse-engineer, decompile, or attempt to derive the source code of the Services, except to the extent such restriction is prohibited by applicable law; or (d) remove any proprietary notices from the Services.

7. Acceptable use

You agree not to use the Services to:

• Process, sign, verify, or distribute documents in furtherance of fraud, forgery, misrepresentation, or any unlawful purpose;
• Violate any applicable law or regulation, including India's Information Technology Act, 2000, and rules made thereunder;
• Infringe the intellectual property, privacy, or other rights of any third party;
• Introduce malware, attempt unauthorized access, or otherwise interfere with or disrupt the integrity or performance of the Services;
• Attempt to circumvent, disable, or reverse-engineer the security architecture of the Services, including any measures designed to prevent server-side receipt of Document Content;
• Use automated means (bots, scrapers) to access the Services in a manner that sends excessive requests or otherwise burdens our infrastructure, without our prior written consent.

We reserve the right to investigate and take appropriate action, including suspension or termination of your Account, against anyone who violates this section.

8. Document Content and your responsibility

Because Document Content is processed entirely on your device and is never transmitted to us, you retain full, exclusive control of and sole responsibility for your Document Content at all times. Diviniel does not review, moderate, access, or exercise any control over Document Content, and we make no representation regarding its legality, accuracy, or fitness for any purpose. You are solely responsible for ensuring that your use of the Services and your Document Content comply with all applicable laws.

Because we never receive Document Content, Diviniel neither obtains nor requires any license from you over Document Content — there is nothing for such a license to grant, as we have no access to it.

9. Intellectual property

The Services, including all software, design, text, graphics, logos, and the Diviniel name and marks (excluding open-source components, which remain governed by their respective licenses, disclosed on request), are the exclusive property of Diviniel Technologies Private Limited or its licensors, protected under applicable copyright, trademark, and other intellectual property laws. Nothing in these Terms transfers any ownership rights to you.

If you submit feedback, suggestions, or ideas about the Services, you grant us a perpetual, irrevocable, royalty-free license to use that feedback for any purpose without obligation to you.

10. Fees, billing, and payment

Certain features of the Services require payment of fees as described on our pricing page at the time of purchase. Payments are processed by our third-party payment processor, Razorpay, subject to Razorpay's own terms. You authorize us (via Razorpay) to charge your chosen payment method for all fees incurred. Subscription plans, unless otherwise stated, renew automatically at the end of each billing period until cancelled. All fees are exclusive of applicable taxes (including GST), which will be added where required by law. 11. Third-party services

The Services may integrate with or rely on third-party services, including authentication providers (Google, Microsoft), Hedera Consensus Service for integrity anchoring, and hardware security devices (e.g., YubiKeys, smart cards) for signing. We are not responsible for the availability, accuracy, or practices of these third-party services, which are governed by their own terms.

12. Disclaimers

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. While our architecture is designed to eliminate specific categories of risk (server-side exposure of Document Content), we do not warrant that the Services will be uninterrupted, timely, secure, or error-free, or that they will meet every regulatory requirement applicable to your specific use case. You are responsible for independently confirming that the Services meet your own compliance obligations, including under HIPAA, GDPR, or any sector-specific regulation applicable to you.

13. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL DIVINIEL TECHNOLOGIES PRIVATE LIMITED, ITS DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICES, WHETHER BASED ON WARRANTY, CONTRACT, TORT, OR ANY OTHER LEGAL THEORY, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. [Aggregate liability cap — e.g., fees paid in the preceding 12 months — to be set with counsel input; carve-outs for gross negligence, willful misconduct, and statutory rights that cannot be excluded under Indian law must also be confirmed.]

14. Indemnification

You agree to indemnify, defend, and hold harmless Diviniel and its officers, directors, employees, and agents from any claim, demand, loss, or damages, including reasonable legal fees, arising out of or related to: (a) your Document Content; (b) your violation of these Terms; (c) your violation of any law or the rights of a third party.

15. Termination

You may stop using the Services and close your Account at any time. We may suspend or terminate your access to the Services, with or without notice, if we reasonably believe you have violated these Terms, or as required by law. Upon termination, your right to use the Services ceases immediately; provisions of these Terms that by their nature should survive termination (including Sections 9, 12, 13, 14, and 18) will survive.

16. Compliance with laws; export control

You agree to comply with all applicable laws in connection with your use of the Services, including applicable export control and sanctions laws. You represent that you are not located in, or a national of, any country subject to a comprehensive embargo under Indian or applicable international law, and that you are not on any restricted party list.

17. Force majeure

Neither party will be liable for any failure or delay in performance under these Terms to the extent caused by circumstances beyond its reasonable control, including acts of God, natural disaster, war, terrorism, labor disputes, internet or utility failures, or governmental action.

18. Dispute resolution and governing law

These Terms are governed by the laws of India, without regard to conflict-of-law principles. Any dispute, controversy, or claim arising out of or relating to these Terms, including its formation, interpretation, breach, or termination, shall first be attempted to be resolved through good-faith negotiation between the parties. If not resolved within 30 days, the dispute shall be referred to and finally resolved by arbitration under the Arbitration and Conciliation Act, 1996, by a sole arbitrator appointed by mutual agreement of the parties (or, failing agreement, in accordance with that Act). The seat and venue of arbitration shall be Mumbai, Maharashtra, and the proceedings shall be conducted in English. [This clause has significant consequences for Users' ability to bring claims in court and should be given priority review by counsel — including whether an arbitration requirement is appropriate for a consumer-facing product, and whether it should be one-sided or mutual, before publication.]

Subject to the arbitration agreement above, the courts of Maharashtra shall have exclusive jurisdiction over any matter not subject to arbitration (such as applications for interim relief).

19. Severability

If any provision of these Terms is held invalid or unenforceable, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

20. Entire agreement

These Terms, together with our Privacy Policy and any other legal notices published by us on the Services, constitute the entire agreement between you and Diviniel regarding the Services, and supersede any prior agreements.

21. Assignment

You may not assign or transfer these Terms, by operation of law or otherwise, without our prior written consent. We may assign these Terms without restriction, including in connection with a merger, acquisition, or sale of assets.

22. Notices

We may provide notices to you via email, through the Services, or by posting on our website. Notices to us should be sent to contact@diviniel.com.

23. Changes to these Terms

We may update these Terms from time to time. We will update the “last updated” date above, and for material changes, we will notify account holders directly in addition to posting the updated Terms. Continued use of the Services after changes take effect constitutes acceptance of the revised Terms.
